This is a pivotal moment for our Legal team.\n\nThe Role\nWe are seeking a strategic, business-oriented attorney to join our Legal team and lead across core corporate work — governance, securities, and strategic transactions — while partnering closely with Finance, Accounting, Strategy, and executive leadership.\n\nThis is a high-impact role with real ownership and visibility. You will help design and institutionalize the legal and governance infrastructure required to scale a multi-entity operating company and transition to public-company readiness.\n\nThe ideal candidate combines strong technical corporate and securities expertise with sound judgment, operational pragmatism, and a bias toward building durable systems.\n\nKey Responsibilities:\n\n## Corporate Governance & Public Company Readiness\n\n- Assist with board and committee operations, including preparation of materials, resolutions, written consents, and governance documentation.\n- Maintain corporate formalities across Teamshares and affiliated entities, ensuring compliance with state, federal, and international requirements.\n- Help design and implement scalable governance processes to support public company readiness, including SEC reporting preparation, insider trading policies, disclosure controls, and compliance with the 1933 and 1934 Acts.\n- Partner with Finance and Accounting to support internal controls over financial reporting and audit readiness.\n- Maintain organized, auditable systems for tracking governance documents, equity records, and regulatory filings.\n\n## Transactions & Financial Operations\n\n- Provide legal support for  debt compliance and capital structure optimization.\n- Support implementation of processes that will scale in a public-company environment.\n\n## Equity & Ownership Management\n\n- Oversee the company’s equity plans and incentive programs.\n- Advise on issuance, transfer, repurchase, and restructuring of shares and options.\n- Coordinate with Finance and HR on equity grants and employee equity education.\n- Help ensure compliance with securities exemptions and public-company reporting obligations.\n\n## Risk Management & Cross-Functional Partnership\n\n- Advise executive leadership on legal risk with financial, governance, or strategic implications.\n- Help develop and roll out internal policies reflecting public-company standards.\n- Coordinate with external counsel efficiently and cost-effectively.\n- Provide training on governance, equity, and securities compliance.\n\n## Required Qualifications\n\n- 5+ years of experience in corporate and securities law, including equity administration.\n- Juris Doctor (JD) from an accredited law school.\n- Active membership in good standing with at least one U.S. state bar.\n- Experience managing complex corporate transactions.\n- Strong knowledge of U.S. securities laws, including the 1933 and 1934 Acts.\n- Excellent communication, analytical, and organizational skills.\n- Ability to operate cross-functionally in a fast-paced environment.\n- Business-oriented mindset balancing legal rigor with practicality.\n\n## Preferred Qualifications\n\n- Experience in Big Law corporate or capital markets practices.
